Companies Registry Fees 4 August 2005

    The Financial Supervsion Commission would like to remind customers of the Companies Registry that a number of fees have changed. With the concurrence of Treasury, and with the approval of Tynwald the following orders came onto effect on the specified dates:

    Effective from 1st July 2005

    SD 212/05 - Registration Of Business Names (Fees And Duties) Rules 2005

    SD 214/05 - Companies Registry (Miscellaneous Fees) Order 2005

    SD 216/05 - Insurance Companies (Transfer of Domicile) (Fees and Duties) Order 2005

    SD 217/05 - Companies (Transfer of Domicile) (Fees and Duties) Order 2005

    GC 14/05 - Financial Supervision Commission - Extra Statutory Concession – Charities Incorporated Under The Companies Acts 1931 To 2004

    Effective from 1st August 2005

    SD 211/05 - Companies (Fees And Duties) Order 2005

    SD 213/05 - Limited Liability Companies (Fees and Duties) Order 2005

    SD 215/05 - Partnership (Fees) Rules 2005

    Please ensure you include the correct fee when you do business with the Companies Registry in order to avoid documents being returned. Details of all the new fees are contained in Practice Note 7/2005, issued on the 1st August 2005.

    As a result of the fee changes described above, the Commission has amended and re-issued a number of practice notes to ensure they contain the correct information:

    1. Practice Note 7/2005 - Companies Registry Fees. This Practice Note replaces Practice Note 6/2005 “Companies Registry Fees”, issued on 16th June 2005.

    2. Practice Note 8/2005 - Submission of Company Documents and the Calculation of Filing Fees. This Practice Note replaces Practice Note 3/2005 “Submission of Company Documents and the Calculation of Filing Fees”, issued on 1st April 2005.

    3. Practice Note 9/2005 - Dissolving a Solvent Limited Liability Company Under Section 11A of the Limited Liability Companies Act 1996. This Practice Note replaces Practice Note 5/2004 “Dissolving a Solvent Limited Liability Company Under Section 11A of the Limited Liability Companies Act 1996”, issued on 1st November 2004.

    4. Practice Note 10/2005 - Dissolving a Solvent Company Under Section 273A of the Companies Act 1931. This Practice Note replaces Practice Note 2/2004 “Dissolving a Solvent Company Under Section 273A of the Companies Act 1931”, issued on 20th March 2004.

    Copies of all practice notes are available from the Companies Registry and our web site.

    Accounts’ Compliance Declaration

    Customers are also reminded that agreement was reached with the industry as to the new wording for the accounts’ compliance declaration to be used on forms filed on or after 1st November 2004. In order to assist the industry with the transition, the Commission agreed to accept either the old or the revised declaration up to 31st March 2005. This transitional period has now expired. The new form of annual return, prescribed by the Companies (Forms) (Amendment) Regulations 2004 (SD731/04), can be accessed on the Commission’s website at www.fsc.gov.im and is also available from the Companies Registry and from the Central Reference Library in Government Offices.
